Please read these terms carefully before purchasing any programme or service from Maternity & Matrescence. By making a purchase or booking, you agree to these terms.

1. About Maternity & Matrescence

Nicola Underwood-Booth is a sole trader operating as Maternity & Matrescence. These terms govern all programmes and services offered by Maternity & Matrescence.

2. Who these programmes are for

These programmes are designed for mothers-to-be and mothers. Participants must be 18 or over. Group programmes are open to participants based in the United Kingdom and Republic of Ireland only. One to one coaching is available to participants based anywhere in the world with the exception of North America, due to insurance restrictions.

3.Programmes and services

Nicola Underwood-Booth offers the following programmes and services: Foundations: a self-guided online programme. The Collective: a live group programme. Bespoke: one to one coaching. Matrescence: The Collective: a live group programme. Matrescence: Bespoke: one to one coaching. Additional services including training, speaking engagements and one-off coaching sessions. 4.Chemistry calls

Complimentary chemistry calls are available to prospective Bespoke and Matrescence Bespoke clients only. Each prospective client is entitled to one chemistry call. A no-show without prior notice will be treated as a decision not to proceed. Prospective clients who wish to go ahead following a chemistry call, or without one, may book directly through the website.

5. Payment

Individual participants pay by card at the time of booking. Where an employer is paying on behalf of a participant, payment may be made by card or invoice. The invoice must be settled no later than 14 days before the programme start date. Places will not be confirmed until payment is received and will be released if payment is not received by that deadline. Nicola Underwood-Booth is not VAT registered.

6.Cancellations and refunds

Cancellation by you: If you cancel more than 14 days before the programme start date, you will receive a full refund. If you cancel within 14 days of the programme start date, no refund will be issued. You may transfer your place to a future cohort at no additional cost, subject to availability. For Bespoke and Matrescence Bespoke, if you cancel an individual session with less than 48 hours notice, that session will be forfeited. Cancellations with more than 48 hours notice can be rescheduled. Nicola Underwood-Booth recognises that exceptional circumstances arise. In cases of bereavement, serious illness or other urgent personal circumstances, cancellation outside the standard policy will be considered at Nicola Underwood-Booth's discretion.

Cancellation by Nicola Underwood-Booth: If Nicola Underwood-Booth cancels a programme before it begins, you will receive a full refund. If Nicola Underwood-Booth is unable to complete a programme already underway, you will receive a pro-rata refund based on the sessions remaining. If a group programme does not reach the minimum number of three participants, the programme will not run. You will be offered either a full refund or the option to transfer your place to the next available cohort.

7. Intellectual property

All programme content, materials, frameworks, templates, exercises and recordings produced by Nicola Underwood-Booth are her intellectual property unless otherwise stated. Where third party content is used within the programme, it will be clearly credited to its original creator. You may use materials for your own personal use only. You may not: share, distribute or reproduce any programme content, materials or recordings with any third party; share login details or account access with any other person; use any programme content, materials or frameworks to create a competing or derivative coaching programme, product or service; copy or adapt any materials without prior written permission from Nicola Underwood-Booth. Templates and exercises provided as part of the programme may be used for their intended personal purpose only.

8.Confidentiality

What Nicola Underwood-Booth will keep confidential: Everything shared within the context of coaching or group sessions is treated as confidential. Personal information and the content of sessions will not be shared with any third party without consent. Nicola Underwood-Booth may discuss anonymised coaching scenarios with her coaching supervisor as part of her professional practice. No identifying information will be shared. Anonymised themes may be identified across the programme to improve content and delivery. Nothing identifying will be shared publicly. Exceptions to confidentiality: Confidentiality may be broken if there is serious concern for the safety of a participant or others, or if information comes to light suggesting that a criminal offence has been or may be committed. Where possible, this will be discussed with the participant before any action is taken. Participant responsibility in group programmes: What is shared in group sessions remains confidential to the group. Participants must not share the personal experiences, stories or disclosures of other participants outside the group. This applies to all formats including live sessions, recordings and the WhatsApp community group.

9. WhatsApp Community Group

Participation in the WhatsApp community group is optional. If you do not wish to join, your place on the programme will not be affected. You may leave the WhatsApp group at any time. Nicola Underwood-Booth will exit the group approximately 18 months after it is created, at which point it will be handed over to the cohort. All participants are expected to treat each other with respect within the WhatsApp group. Discriminatory, bullying or intentionally hurtful behaviour will not be tolerated. Nicola Underwood-Booth reserves the right to remove a participant from the WhatsApp group if their behaviour is causing harm or distress to others. All content shared in the group is subject to the same confidentiality expectations as live sessions.

10. Group programme Conduct

Participants are expected to engage respectfully with each other and with the facilitator at all times. Sessions are recorded for participants who miss a session. Recordings are shared only with those registered for that cohort and must not be shared outside the group. Nicola Underwood-Booth reserves the right to remove a participant from a group programme if their behaviour is causing harm or distress to others. In this circumstance, a pro-rata refund will be issued for sessions not yet attended.

11.One to one coaching conduct

Nicola Underwood-Booth reserves the right to end a coaching relationship if a participant behaves in an aggressive or persistently disrespectful manner, or fails to attend sessions repeatedly without reasonable notice or explanation. In this circumstance, a pro-rata refund will be issued for sessions not yet attended.

12. Nature of Coaching

Coaching is not therapy, counselling or medical advice. If at any point Nicola Underwood-Booth believes a participant would benefit from additional professional support, she may signpost to other services. Nicola Underwood-Booth is not responsible for any decisions made as a result of coaching.

13. Technology

Live sessions are delivered via Zoom. Participants are responsible for ensuring they have a working device, camera, microphone and internet connection. If technical issues arise on the participant's side, the session will proceed as planned. If technical issues arise on Nicola Underwood-Booth's side, the session will be rescheduled at no additional cost.

14. Changes to the Programme

Nicola Underwood-Booth reserves the right to make reasonable changes to session dates, content or delivery format. Participants will be given as much notice as possible of any changes. Material changes that significantly affect the programme will entitle participants to a pro-rata refund if they wish to withdraw.

15. Professional Membership and Complaints

Nicola Underwood-Booth is a member of the Association for Coaching and works in accordance with their Code of Ethics. If you have a concern, please raise it with Nicola Underwood-Booth directly in the first instance. Every effort will be made to resolve the matter promptly and fairly. If you believe Nicola Underwood-Booth has breached the Association for Coaching Code of Ethics and the matter has not been resolved to your satisfaction, you may contact the Association for Coaching to raise a formal complaint. 16. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

17. Changes to these Terms

Nicola Underwood-Booth reserves the right to update these terms from time to time. The current version will always be available on the website. Continued participation in a programme following any changes constitutes acceptance of the updated terms.
